1. The Parties

1.1 The Offeror is TH FI Phase 2 Nominee 1 Limited and TH FI Phase 2 Nominee 2 Limited both of 4 Stable Street, London N1C 4AB, acting as joint trustees for and on behalf of TH FI Phase 2 Limited Partnership and / or any agent acting on its behalf.

1.2 The Offeree is the tenant(s), or prospective tenant(s) or former tenant(s), as the case may be, under an assured periodic tenancy entered into by the Offeror (as landlord) and the Offeree (as tenant(s)).

2. The Promotion Package

2.1 Terms 2.2 and 2.3 are separately and together, as the case may be, referred to as the "Promotion Package".

2.2 Tenancy Referral Rent Credit

2.2.1 Existing tenants will be eligible to claim a rent credit of up to £1,500, following a successful tenancy referral.

2.2.2 A tenancy referral shall be successful once the referred tenant has passed any required pre-tenancy checks and enters into a new assured periodic tenancy with the Offeror and takes up occupation of the relevant premises.

2.2.3 The referred tenant must be a new tenant and must not already be, or have been, in occupation of any premises let or owned by the Offeror or an associated company.

2.2.4 The rent credit shall be applicable to the existing tenant at the start of the third month of the term of the referred tenancy.

2.2.5 Tenants may be eligible to benefit from the rent credit for each successful tenancy referral.

2.2.6 Only one tenant will be eligible to benefit from the rent credit for each referred tenant. If more than one tenant has referred the same tenant, the Offeror shall at its sole discretion determine how to apply the rent credit.

2.2.7 The process to apply for a tenancy referral is set out at paragraph 5 below.

2.3 Referred Tenants Welcome Voucher

2.3.1 Referred tenants will be eligible to claim a welcome voucher or gift card with a provider at the Offeror's discretion of up to £500, following a successful tenancy referral.

2.3.2 A tenancy referral shall be successful once the referred tenant enters into a new assured periodic tenancy with the Offeror and takes up occupation of the relevant premises.

2.3.3 The referred tenant must be a new tenant and must not already be, or have been, in occupation of any premises let or owned by the Offeror or an associated company.

2.3.4 The welcome voucher shall be applicable to the referred tenant once the tenant takes up occupation of the premises.

2.3.5 No referred tenant will be eligible to benefit from a welcome voucher more than once.

2.3.6 The process to apply for a tenancy referral is set out at paragraph 5 below.

3. The Promotion Period

3.1 The Promotion Package shall be open from the date specified in the relevant marketing materials.

3.2 The Offeror may close or suspend the Promotion Package on any date to be decided by the Offeror at its sole discretion.

4. Changes to the Promotion Package

4.1 The Offeror reserves the right, at its sole discretion and without notice, to change and / or revoke any and all terms of the Promotion Package, including but not limited to the sums offered and the month / time period when the Promotion Package will be applied.

4.2 The Offeror shall use reasonable endeavours to update the Promotion Package marketing materials should any changes be made. It is the responsibility of the Offeree to keep itself informed as to any changes to the Promotion Package and the Promotion Package Terms and Conditions.

5. Application for the Promotion Package

5.1 Tenancy referral (paragraphs 2.2 and 2.3)

5.1.1 A tenancy referral will not be applied automatically. The existing tenant (referrer) shall make a referral request by email to leasing@themaplenw2.co.uk before:

(a) the referred tenant (or another person on the referred tenant's behalf) attending a viewing; and
(b) a reservation being made in or including the referred tenant's name, whichever is earlier.

5.1.2 The Offeror may at its discretion make provisions as to the form of the request or the details required to be included in the request to be submitted by the Offeree.

5.1.3 The Offeror accepts no liability for any requests made by the Offeree which may be lost, misplaced or damaged or which may otherwise not be delivered to the Offeror.

6. The Tenancy Agreement

6.1 The Promotion Package is provided by the Offeror at its absolute discretion and operates separately from the tenancy agreement.

6.2 The Promotion Package shall not constitute a variation, or in any way affect the terms, of the tenancy agreement entered into by the Offeror and the Offeree, the terms of which shall continue in full force and effect.

6.3 For the avoidance of doubt, the Promotion Package shall not be treated in any way as reducing or changing the sums payable, including the Rent, by the Offeree under the tenancy agreement.

7. General Exclusions

7.1 The Promotion Package will not apply in the following circumstances (each an "Exclusion"):

(a) Where the Offeror has reasonable reason to believe that the Offeree is in breach of its tenancy agreement, including but not limited to the non-payment of rent;

(b) Where the Offeror has reasonable reason to believe that the Offeree is in breach of these Promotion Package Terms and Conditions;

(c) Where the Offeror has reasonable reason to believe that the Offeree is in breach of any laws applicable or relating to the tenancy agreement or these Promotion Package Terms and Conditions;

(d) In the case of the welcome voucher, where the Offeree has vacated and / or given notice to terminate the tenancy agreement. Nothing in these terms restricts or penalises the Offeree's statutory right to end the tenancy in accordance with the Renters' Rights Act 2025 and the Housing Act 1988 (as amended); or

(e) In the case of the rent credit, where either tenant (the referrer or the referee) has vacated and / or given notice to terminate their tenancy agreement. Nothing in these terms restricts or penalises the tenant's statutory right to end the tenancy in accordance with the Renters' Rights Act 2025 and the Housing Act 1988 (as amended).

7.2 In the event of an Exclusion, the Offeror reserves the right to revoke the application of the Promotion Package with both prospective and retrospective effect.

7.3 For the avoidance of doubt, where the Offeree comprises multiple tenants, the Promotion Package will not apply if an Exclusion is met by one or more of those tenants.

8. Confidentiality

8.1 By accepting any item within the Promotion Package, the Offeree agrees to keep confidential the terms of any promotion it is offered or it receives.

9. Data Protection

9.1 The personal information about the Offeree that is processed in relation to the Promotion Package will be managed in accordance with all applicable data protection and privacy legislation in force from time to time in the UK. 10. Limitation of Liability

10.1 Insofar as is permitted by law, the Offeror and its associated companies will not in any circumstances be liable or accept any liability for any loss or damage to the Offeree occurring as a result of the Promotion Package. The Offeree's statutory rights are not affected.

11. General

11.1 These Promotion Package Terms and Conditions constitute the entire agreement between the Offeror and the Offeree in respect of all matters relating to the Promotion Package. No oral statement or prior written matter not specifically incorporated herein shall be of any force or effect.

11.2 By accepting any item within the Promotion Package, the Offeree agrees to be subject to these Promotion Package Terms and Conditions.

11.3 The Promotion Package shall apply to tenancy agreements entered into, or to be entered into, by individual tenants only and shall not apply to corporate entities.

11.4 The Promotion Package is available for a limited time and in limited numbers and shall be applicable on a first come first served basis.

11.5 In the event of a genuine dispute regarding the Promotion Package or the Promotion Package Terms and Conditions, the Offeror's decision shall be final. Nothing in this clause affects the Offeree's statutory rights.

11.6 The Offeree shall direct any queries it may have in relation to the Promotion Package or the Promotion Package Terms and Conditions to the relevant marketing / sales team for the property.

11.7 The Promotion Package is not transferable to other tenancy agreements or individuals.

11.8 No cash or other alternatives to the Promotion Package shall be offered.

11.9 The Promotion Package cannot be redeemed in connection with any other offer or promotion.

11.10 The Promotion Package is offered at the discretion of the Offeror and shall not bind the Offeror's successors in title.

11.11 These Promotion Package Terms and Conditions and any dispute or claim arising out of or in connection with them or their subject matter (including the Promotion Package) shall be governed by the laws of England and Wales.

11.12 The Courts of England and Wales shall have exclusive jurisdiction in relation to any dispute or claim arising out of or in connection with these Promotion Package Terms and Conditions or their subject matter (including the Promotion Package).
